Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Arsenal Hill Technologies LLC (“Arsenal Hill,” “we,” “us,” or “our”) governing your access to and use of arsenalhill.com and our software applications, including OrgMe and OrgMeMail (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

The Services

Arsenal Hill provides software applications and related services. We may add, change, suspend, or discontinue features of the Services at any time. The Services are currently offered free of charge; we may introduce paid plans or features in the future, and we will provide notice before any charges apply to you.

Eligibility and Accounts

You must be at least 13 years old (or the age of majority in your jurisdiction, where required) to use the Services. When you create an account, you agree to provide accurate information and to keep it current. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at info@arsenalhill.com of any unauthorized use.

Acceptable Use

You agree not to:

• Use the Services in violation of any applicable law or regulation;
• Access or use another person’s data or account without authorization;
• Interfere with, disrupt, or compromise the integrity or security of the Services;
• Attempt to gain unauthorized access to any systems or networks;
• Reverse engineer, copy, or resell the Services except as permitted by law; or
• Use the Services to transmit malware, spam, or other harmful or unlawful content.

Your Content and Data

You retain ownership of the content and data you submit to or connect with the Services (“Your Content”). You grant Arsenal Hill a limited license to host, store, process, and display Your Content solely as necessary to provide and improve the Services for you. You are responsible for Your Content and for ensuring you have the rights necessary to provide it. Our handling of personal information is described in our Privacy Policy.

Third-Party Services

The Services integrate with third-party services, including Google. Your use of those services through the Services is subject to the third party’s terms and policies. Our handling of Google user data, including our Google API Limited Use commitments, is described in our Privacy Policy.

Intellectual Property

The Services, including their software, design, and content (excluding Your Content), are owned by Arsenal Hill and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. All rights not expressly granted are reserved.

Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARSENAL HILL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

Indemnification

You agree to indemnify and hold harmless Arsenal Hill from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, Your Content, or your violation of these Terms or applicable law.

Termination

You may stop using the Services at any time. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms or to protect the Services or other users. Provisions that by their nature should survive termination will continue to apply.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance.

Governing Law

These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in South Carolina.
